On April 26, 2022, Rob will join Rich Heeter, Managing Director of Capital Trustees, LLC, and Drake Nicholas of Barley Snyder to share insights about several complex negotiation issues in ESOP transactions, including claw-back and earn-out provisions, non-compete contracts for key employees, and the appropriate application of warrants and other incentives. Additionally, the session will build off actual transactions and cover specific challenges such as customer concentration and unvetted financial information.
